Terms of Use — HUMΛN

These Terms of Use (“Terms”) govern your access to and use of the HUMΛN platform, including our website, APIs, SDKs, and related services (collectively, the “Services”) provided by HAIO Labs, Inc. (“HUMΛN,” “we,” or “us”).

By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 16 years old to use our Services. By using the Services you represent that you meet this requirement and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.

2. Your HUMΛN Passport

A HUMΛN Passport is a self-sovereign cryptographic identity. You are responsible for maintaining the security of your Passport and any device it is bound to. HUMΛN cannot recover a lost Passport on your behalf — we encourage you to set up recovery keys during onboarding.

You agree not to create Passports for fraudulent purposes, impersonate others, or misrepresent your identity.

3. Acceptable use

You agree to use the Services only for lawful purposes. You may not:

Violate any applicable law or regulation
Infringe the intellectual property rights of others
Attempt to gain unauthorized access to our systems or other users' accounts
Transmit malware, spam, or harmful code
Use the Services to facilitate illegal activities
Reverse engineer or attempt to extract source code from our Services
Scrape or systematically harvest data without authorization
Interfere with or disrupt the integrity or performance of the Services

4. API and SDK use

Access to the HUMΛN API and SDK is subject to rate limits and usage policies provided in our developer documentation. We reserve the right to suspend API access that violates these policies or negatively impacts the platform.

Applications you build using HUMΛN's identity infrastructure must comply with applicable privacy laws and clearly disclose to your users how their identity data is used.

5. Intellectual property

The HUMΛN platform, brand, and associated software are owned by HAIO Labs, Inc. and protected by intellectual property laws. Open-source components are governed by their respective licenses.

You retain ownership of content you create using the Services. By using the Services, you grant HUMΛN a limited license to process and display your content as necessary to provide the Services.

6. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms.

7. Investor portal

Access to the HUMΛN investor portal is restricted to accredited investors who have been approved by HUMΛN. Information shared in the portal is confidential and subject to any applicable non-disclosure agreements. Unauthorized distribution of portal content is prohibited.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMΛN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

10. Indemnification

You agree to indemnify, defend, and hold harmless HAIO Labs, Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice. You may stop using the Services at any time. Sections 5, 8, 9, and 10 survive termination.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the Court of Chancery of the State of Delaware.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or prominent notice on our website. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
